Briefcontinuity reserves the right to modify or discontinue the services at any time without prior notice. We will make reasonable efforts to notify users of significant changes, but it is your responsibility to review these Terms periodically for updates. Your continued use of the services after any modifications constitutes your acceptance of the revised Terms.
Our services are intended for users located in the United States. If you access our services from outside the United States, you do so at your own risk and are responsible for compliance with local laws. We do not warrant that our services are appropriate or available for use in other jurisdictions.
2. User Accounts
To access certain features of our services, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Briefcontinuity immediately of any unauthorized use of your account or any other breach of security. Briefcontinuity will not be liable for any loss or damage arising from your failure to comply with this section.
We reserve the right to suspend or terminate your account at our sole discretion if we suspect any unauthorized use or if you violate these Terms. Upon termination, your right to use the services will immediately cease, and you must discontinue all use of the services.
3. Acceptable Use Policy
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to use the services:
- In any way that violates any applicable federal, state, local, or international law or regulation.
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate Briefcontinuity, a briefcontinuity.info employee, another user, or any other person or entity.
Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the services, at our sole discretion, without prior notice.
4. Prohibited Activities
In addition to the Acceptable Use Policy, you are prohibited from:
- Using the services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the services.
- Using any robot, spider, or other automatic devices, process, or means to access the services for any purpose, including monitoring or copying any of the material on the services.
- Using any manual process to monitor or copy any of the material on the services or for any other unauthorized purpose without our prior written consent.
- Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities.
5. Content Ownership
All content, features, and functionality on the services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, are the exclusive property of Briefcontinuity or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the services for your personal or internal business use. This license does not include any resale or commercial use of the services or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the services or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.
Any unauthorized use terminates the permission or license granted by Briefcontinuity. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as follows: your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
6. User-Generated Content
Our services may allow users to submit, post, or transmit content, including but not limited to text, images, and videos (collectively, "User Content"). You retain ownership of any intellectual property rights that you hold in your User Content. However, by submitting User Content to the services, you grant Briefcontinuity a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.
You represent and warrant that you own or have the necessary rights to use and authorize Briefcontinuity to use your User Content as described in these Terms. You agree that you will not submit any User Content that violates any third-party rights, including intellectual property rights, privacy rights, or rights of publicity.
Briefcontinuity reserves the right to remove or edit any User Content at our sole discretion, without notice, for any reason, including but not limited to violations of these Terms or applicable laws.
7. Payment Terms
Access to certain features of our services may require payment of fees. You agree to pay all fees associated with your use of the services in accordance with the pricing plan you select. All fees are non-refundable unless otherwise stated in writing by Briefcontinuity.
Payment must be made using a valid payment method as specified during the registration process. You authorize Briefcontinuity to charge your chosen payment method for the total amount due. If your payment method fails or your account is past due, we reserve the right to suspend or terminate your access to the services.
We may change our fees from time to time, and we will provide you with notice of any fee changes. Your continued use of the services after the effective date of the fee change constitutes your acceptance of the new fees.
8. Service Modifications
Briefcontinuity reserves the right to modify or discontinue, temporarily or permanently, the services or any part thereof with or without notice. You agree that Briefcontinuity will not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.
We may also impose limits on certain features and services or restrict your access to parts or all of the services without notice or liability. We will make reasonable efforts to notify you of significant changes to the services, but it is your responsibility to review these Terms periodically for updates.
Any new features that augment or enhance the current services shall also be subject to these Terms. Continued use of the services after any such changes shall constitute your consent to such changes.
9. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Briefcontinuity, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the services;
- Any conduct or content of any third party on the services;
- Any content obtained from the services; and
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall Briefcontinuity’s total liability to you for all claims arising out of or relating to these Terms or your use of the services exceed the amount paid by you, if any, for accessing the services during the twelve (12) months preceding the claim.
10. Termination
These Terms are effective until terminated by either you or Briefcontinuity. You may terminate these Terms at any time by discontinuing your use of the services and deleting your account. Briefcontinuity may terminate these Terms and your access to the services at any time, without notice, for any reason, including but not limited to your breach of these Terms.
Upon termination of these Terms, your right to use the services will immediately cease, and you must discontinue all use of the services. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Termination of these Terms does not affect any rights or obligations that have accrued prior to the date of termination.
